CODE OF CONDUCT
I. Premise: Our mission for society, and a targeted corporate climate
A. Our mission for society
  1. The mission of SUMIKIN BUSSAN Group is,
"to solve the business issues of our clients by providing high quality, differential products, service and information as their partners in the four business areas of steel, Industrial Supply & Infrastructure, textiles, and foodstuffs".
Our "clients" are the basis of our business management and business activities.
  2. Profit is essential "capital" for corporate survival and development, as well as for fulfilling our responsibility to our stakeholders. Profit (in other words: the quality of our operations) takes precedence over the scale of our business.

B. Our targeted corporate climate
  1. To comply with the Sumitomo Spirit, and make this spirit the foundation of our code of conduct. "Value Trust and Strive for Reliability"
Our business management and activities must always be fair and sincere, and contribute to the realization of "a better society".
Compliance is the basis of all our business management and activities.
   
Note: Sumitomo Spirit (the traditional business spirit of Sumitomo) can be summarized as follows:

  i. To recognize the value of integrity and strive to conduct sound business practice
  ii. To avoid pursuing easy gains
  iii.  To contribute to our society
  iv. To work as a group
  v. To value our employees and our technology

  2. To aim at becoming "A Group that Takes Action", 'an alert and agile group' with a foundation based on the "on-site principle".
  3. People are Our Greatest Asset.
As a group of people with a variety of experience, skills and sets of value, we respect one another's personality and viewpoints and develop ourselves through our work as we build a corporate climate where brightness, vitality, and rigorousness coexist.

II. Code of Conduct
A. As an Individual
  1. Endeavor to be leading experts in the field-not only internally, but externally as well. Always strive to develop "Human capital".
Note: "Human capital": A term that expresses the total potential (to provide information, to make decisions, to take action, to act in a dignified manner, etc.) and attractiveness that a person has as a member of society, as an employee and also as an individual human being.
  2. "Carry out your word". Think on your own, propose ideas, and take initiative in performance. Do not "postpone" or make compromises no matter how difficult the task.
  3. Maintain a "challenging attitude". Maintaining the status quo is a rejection of growth and a step backward.
  4. There is no job that can be done by one person alone. Remember to always be respectful and appreciative of your teammates and related persons within and beyond the company.
Do not restrict yourself to the sphere of your own business, but take a keen interest in the Group, as well as trends in society. Value the humility of "learning from others".

B. As an Organization
  1. Pursue that which is "the best for the whole" by prioritizing the profit of the division over the department, of the company over the division, and of the Group over the company. Do not build "organizational barriers" and do not allow others to build any as well.
  2. Fight against all "inertia". Taboos should be rejected. Discuss things openly without fear of conflict. Do not depend on past success. Pursue the reasons for failure, and avoid its recurrence by sharing the lessons learned from past failure with the Group.
  3. Boldly say what you believe and explain the reasons for your belief. Job titles are not important in discussions. Graciously accept decisions arrived at through a discussion, and take initiative in putting things in action.
  4. Risk comes from the uncertainty of the market, and generates profits and losses. Do not avoid these risks, but assume that you have the capability to deal with these risks, and measure and control them with discipline and courage. While completely controlling unforeseen losses, profits and growth will be realized through operations. A company that fears risk and "fails to act" cannot create new value.
  5. Make full use of the "Group power" of Sumikin Bussan Group and Sumitomo Metals Group. Contribute to the realization of the "Group power" of Sumitomo Metals Group by making use of the company's functions.
  6. When consulting with superiors, demonstrate your opinion clearly. Do not make your responsibilities ambiguous in the course of consultation. Do not blindly follow every instruction and advice. Remonstration is also the responsibility of the subordinate.
  7. Do not simply "supervise", but "guide" your subordinates. Be a role model and willingly share useful business information with them.
Give them clear directions after carefully listening to their ideas and concerns. Give appropriate supervision to the progress of the tasks you have assigned.
Respect the individual characteristics of your subordinates and recognize their strengths. Trust them with 120% of the work, through the process of reaching their goals, they will increase their capabilities and confidence. Give fair evaluations. Give proper credit and give proper reprimand. Take full responsibility, as a superior, for the actions of your subordinates.
  8. In-house training leads to self-development and we support the policy based on our principle of "on-the-job learning". The results of the training are verified through job performance and proficiency tests, and reflected appropriately in terms of compensation.
  9. "Information" is an important asset for a company. Take rigorous precautions in managing and transmitting information and expend all possible means to protect confidentiality. Do not expect too much accuracy in the information but attach importance to the most "up-to-date" information. Transmit information-especially information about possible dangers to the company-as rapidly as possible, and respond calmly and appropriately to it. Information has no value if it is not associated with decisions and action.
  10. Minimize the volume of meetings and documents.
  11. Time is a valuable asset for a business. Establish and comply with deadlines for every business task and operation.
  12. Be strict with "reward and punishment", and draw a clear line between business and private matters.

C. Outside the company
  1. Get a full sense of "the order of the day", and take action in advance of changes in the market and society. In this era of the "continuity of discontinuity", approach the situation with "versatility" "governed by logic".
  2. Take a full stance in "Respect for the Client", and strive to become "No. 1 company in depth of relationship with the client".
  3. External business affairs take precedence over internal affairs.
Make active contact especially with clients you feel uncomfortable meeting, and at times when the atmosphere is not inviting, and overcome difficult situations on your own.
  4. Use a global perspective in taking action locally (make a real connection between the circumstances of the targeted countries or regions and the business issues). Respect the culture, rules and values of people in the related countries and regions, and carry out operations on the premise of cooperation and trust with them.
  5. Absolutely abide by the laws and other social norms, and take full responsibility of your actions. Unfair or unhealthy company activities greatly damage the trust of society and put at risk our existence in business. Healthy ethics and individual courage are the last line of defense against such dangers.
  6. Accountability in financial statements and reports guarantee correctness in business processes. All business operations are linked and lead to external communication. Be fully aware that wrongdoing by a person is the wrongdoing of the company and conduct affairs fairly and appropriately.
  7. Operate the company with "straightforwardness" and the company will become transparent. Release information inside and outside the company responsibly and accurately at the appropriate time.
  8. Give consideration for the protection of the environment and the recycling of resources in our business activities. Endeavor to engage in businesses that support these environmental activities.
